Agreement and definitions

These Terms of Service (“Terms”) form a contract between you and MINGBAI LTD when you create an account, start a trial, buy a subscription, or otherwise use Míngbai (the “Service”). By doing so, you agree to these Terms.

Our Privacy Policy explains how we handle personal data. It does not reduce any rights you have under data-protection law.

“Subscription”

“Third-party platform”
A browser, app store, payment provider, streaming service, video website, identity provider, or infrastructure provider that Míngbai relies on but does not control.
02

What Míngbai provides

Míngbai is a Chinese-language learning tool designed to work with supported text subtitles on services such as Netflix and YouTube. Depending on your plan and the content available, it may provide phrase grouping, token and phrase selection, pinyin, meanings, learning notes, saved items, and optional on-demand AI-assisted Context Explanation or Scene Q&A.

The exact features included in a free mode, trial, promotional offer, or paid plan are those shown in the Service or at checkout. Some features require a compatible Chrome-based browser, a supported video page, available Chinese text subtitles, an internet connection, and a valid Míngbai account.

Míngbai helps you inspect and understand subtitles. It does not provide Netflix, YouTube, the underlying programme, or the subtitle track itself.

03

Eligibility and personal use

By using Míngbai or creating an account, you confirm that you are at least 13 years old. Children under 13 are not eligible to use Míngbai or create an account, even with parental permission.

You must also be legally capable of entering into this contract. If you are at least 13 but are not old enough to do so where you live, a parent or legal guardian must agree to these Terms and be responsible for the account and payments.

If you are a parent or guardian and believe a child under 13 has an account, contact privacy@learnmingbai.com. We will investigate and take appropriate steps to remove ineligible accounts and their personal information, subject to legally required retention.

The consumer Service is licensed for personal, non-commercial learning use. Business, institutional, classroom, resale, or automated use requires our prior written agreement.

04

Your account

You must provide accurate information and keep access to your email account secure. You are responsible for activity carried out through your account unless it results from our failure to use reasonable care.

Do not share one account between multiple unrelated users, transfer an account, or use another person’s account without permission. Contact hello@learnmingbai.com promptly if you believe your account has been compromised.

05

Free trial and recurring subscriptions

An eligible customer may activate one seven-day Míngbai Pro trial through the Service. The trial is user-initiated and begins when activation succeeds.

The trial does not require payment details, is not a paid Subscription, does not renew, does not convert automatically into a paid plan, and schedules no future charge. You do not need to cancel it to avoid being charged.

When the trial ends, the account returns to Free unless you separately purchase Míngbai Pro. If you purchase Pro during the trial, normal paid-Pro access takes precedence immediately.

A monthly or annual paid Subscription renews automatically at the end of each billing period until you cancel it. The renewal price and billing period are shown at checkout and in your order confirmation.

A “founding”, introductory, discounted, or promotional price applies only on the conditions shown when you subscribe. We will not use a promotional label to remove statutory rights or hide the price payable on renewal.

Cancelling at any point before the next renewal date prevents the next recurring charge but does not shorten or refund the current paid billing period, except under the 14-day money-back guarantee in section 7 or where required by law.

06

Billing, taxes and price changes

Payments are processed by Stripe or another provider identified at checkout. You authorise the provider to charge the payment method you select for the initial purchase and each renewal.

The total price, applicable taxes, currency, billing interval, and material payment conditions will be shown before you place the order. Your bank or card provider may impose its own conversion or payment charges.

If a payment fails, we may retry it, ask you to update your payment method, or limit paid features once any valid paid-through period has ended. We will not treat an unsuccessful renewal attempt as permission to charge an undisclosed fee.

We may change prices for a future billing period. Where required, we will give reasonable advance notice. The new price will not take effect before the date stated, and you may cancel before it applies.

07

Cancellation and 14-day money-back guarantee

You may cancel through the Míngbai account or Stripe customer portal when available, or by contacting hello@learnmingbai.com.

Your first paid Míngbai Pro subscription purchase is covered by our 14-day money-back guarantee. If you request a refund within 14 calendar days of the initial successful payment, we will issue a full refund. You do not need to provide a reason. The guarantee may be used once per customer/account and does not restart on a renewal or later resubscription. To request it, email hello@learnmingbai.com. Your statutory consumer rights are unaffected.

Outside this guarantee and your statutory rights, cancellation is prospective only. Cancellation takes effect at the end of the current paid billing period. You will retain access to paid features until that paid-through date.

Outside this guarantee and your statutory rights, we do not provide refunds, credits, or pro-rated reimbursement for any unused part of the current monthly or annual billing period merely because you cancel before that period ends. For example, cancelling an annual Subscription part-way through the year stops the next annual renewal but does not result in a partial refund for the remaining months.

Nothing in this section affects your statutory consumer rights, including any refund or cancellation right required by law, or any remedy arising because the Service was not supplied as legally required.

If we end a paid Subscription for reasons that are not your fault and do not continue providing it through the paid-through date, we will provide any refund required by law and, where appropriate, a proportionate refund for the unused period.

08

UK and EEA cooling-off rights

If you are a consumer in the UK or European Economic Area, you may have a legal right to cancel a distance contract within 14 days without giving a reason. The period normally begins when the contract is made. Your local mandatory law may provide additional rights.

If you ask us to begin providing a service during the cooling-off period and later cancel, the law may allow us to charge a proportionate amount for the service supplied before cancellation. To the extent the contract supplies digital content not on a tangible medium, a cancellation right may end once supply begins only where you expressly consented to immediate supply and acknowledged that consequence.

Where consent or acknowledgement is legally required, we will request it at checkout or another clear step and include the relevant information in the contract confirmation. If the required process is not followed, nothing in these Terms removes the statutory right.

To exercise a statutory cancellation right, send a clear statement to hello@learnmingbai.com before the deadline. You may use the model form below, but you do not have to.

This section does not limit rights relating to a service that is not supplied with reasonable care and skill, faulty digital content, or any other non-excludable consumer right.

09

Acceptable use

You must not:

  • use the Service unlawfully, fraudulently, or to infringe another person’s rights;
  • circumvent access, entitlement, usage, security, or technical limits;
  • reverse engineer, scrape, systematically extract, resell, sublicense, or create a competing dataset or service from Míngbai, except where law expressly permits an act that cannot be restricted;
  • interfere with the Service, its infrastructure, or another user’s access;
  • submit malicious code, abusive requests, or content designed to compromise a provider or model;
  • use subtitle, programme, or platform content in a way that infringes the rights of its owner.

Reasonable personal exports and saved-learning use made available by the Service are permitted for your own study.

10

Browsers, video platforms and other third parties

Míngbai depends on third-party platforms and technical interfaces that may change without notice to us. A title may have no supported text subtitle track; a platform may change its player; a browser or extension store may change its rules; and a payment, hosting, authentication, or AI provider may experience an outage.

We will use reasonable care to maintain supported integrations, but cannot promise that Míngbai will work with every title, subtitle format, browser version, device, region, or third-party account.

You remain responsible for complying with the terms that apply to your browser, streaming service, video platform, and content access.

Míngbai is independent and is not affiliated with, endorsed by, or sponsored by Netflix, YouTube, Google, or their respective owners.

11

Parser, dictionary and AI-assisted content

Language segmentation, pinyin, glosses, translations, classifications, grammar notes, and AI-assisted explanations may contain errors or depend on context. They are learning aids, not authoritative translations, professional advice, or a substitute for a qualified teacher where accuracy is critical.

On-demand AI features run only when you deliberately request them. Their availability may depend on your plan, quota, configuration, and provider availability.

You should check important meanings independently and report material errors through the feedback or contact tools we provide.

12

Intellectual property and licence

Míngbai and its original software, interface, design, branding, databases, parsing systems, documentation, and service content are owned by or licensed to MINGBAI LTD and protected by intellectual-property law.

While your account is permitted to use the Service, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the current version in accordance with these Terms.

We do not claim ownership of third-party video, programme, subtitle, dictionary, or platform content. Your access to such content comes from the relevant owner or platform, not from Míngbai.

You retain ownership of feedback you submit, but permit us to use it to operate, support, secure, and improve the Service. Personal data within feedback is handled under our Privacy Policy.

13

Availability, maintenance and changes to the Service

We aim to provide the Service with reasonable care and skill. We may carry out maintenance, address security or legal issues, change a provider, update a supported integration, or modify features as the product develops.

We may change or discontinue a feature for a legitimate reason, including security, law, third-party platform changes, provider availability, abuse prevention, or product improvement. We will consider the effect on paid users and give notice where the change materially reduces a paid Subscription and advance notice is reasonably possible.

We do not guarantee uninterrupted or error-free operation. This does not affect any statutory guarantee or remedy that cannot legally be excluded.

14

Responsibility when things go wrong

We are responsible for loss or damage that is a foreseeable result of our breach of these Terms or failure to use reasonable care and skill. We are not responsible for loss or damage that was not reasonably foreseeable when the contract was made.

The consumer Service is supplied for personal and non-commercial use. We are not responsible for business losses such as lost profits, lost business, business interruption, or lost business opportunity arising from consumer use.

We are not responsible for a failure caused solely by a third party or event outside our reasonable control where we used reasonable care in operating our own service, but remain responsible for obligations the law places on us.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, rights that cannot legally be excluded, or any other liability the law does not allow us to limit.

15

Suspension and ending access

We may suspend or end access where reasonably necessary because of a serious or repeated breach, fraud, misuse, security risk, non-payment after a paid-through period, a legal requirement, or a third-party restriction that makes continued provision impossible.

Where practical, we will explain the reason and give a reasonable opportunity to resolve a remediable issue. We will not use this clause to cancel a consumer contract arbitrarily or avoid a remedy required by law.

You may stop using Míngbai at any time. Uninstalling the extension does not itself cancel a recurring Subscription; use the process in section 7.

16

Changes to these Terms

We may update these Terms to reflect changes in the Service, law, security requirements, providers, or business operations. The current version and effective date will be published at this URL.

If a change materially affects an existing paid Subscription, we will provide reasonable notice where required and explain when it takes effect. We will not use a change to remove accrued statutory rights or retrospectively impose an undisclosed charge.

17

Governing law, complaints and disputes

These Terms are governed by the law of England and Wales. If you live in Scotland, Northern Ireland, the European Economic Area, or another jurisdiction with mandatory consumer protections, you retain rights that cannot be displaced by this choice of law.

You and we may bring proceedings in the courts of England and Wales. A consumer may also be entitled to bring proceedings in the courts of the part of the UK or country where they live.

Please contact us first so we can try to resolve a complaint. Nothing prevents either party from using a court or another remedy available by law.
